Terms of Service

Please read these terms carefully. They set out the rules for using our website and the basis on which Alpha Loop Web Solutions provides software, AI and digital services.

Last updated: 28 October 2026  ·  Website: alphaloop.in

01 Acceptance of Terms

These Terms of Service ("Terms") govern your access to alphaloop.in and your use of the services provided by Alpha Loop Web Solutions ("Alpha Loop", "we", "us", "our"). By using our website or engaging us for services, you agree to these Terms and to our Privacy Policy.

If you are agreeing on behalf of a company or other organisation, you confirm that you have authority to bind it. If you do not agree, please do not use our website or services.

If you sign a separate written agreement, proposal or Statement of Work (SOW) with us, that document prevails over these Terms wherever the two conflict.

02 Our Services

We provide custom software and web development, web and mobile applications, AI solutions (including AI agents, LLM applications, RAG systems and automation), SEO and digital marketing, UI/UX design, e-commerce, cloud and DevOps, and ongoing maintenance and support.

The scope, deliverables, timelines, technology stack and fees for each project are set out in a written proposal, quotation or SOW. Services not listed there are outside the scope and may be charged separately. Descriptions on our website are for general information and are not a binding offer.

03 Proposals, Orders & Changes

  • Quotations are valid for the period stated in them (or 15 days if none is stated) and become binding when you accept in writing (including by email) or pay the first instalment.
  • Change requests: work beyond the agreed scope, including new features, redesigns after approval or additional revision rounds, will be estimated and agreed in writing before we start, and may affect timelines and cost.
  • Timelines are estimates and depend on timely feedback, content, access and approvals from you. Delays on your side may move delivery dates.

04 Your Responsibilities

To help us deliver on time and to a good standard, you agree to:

  • provide accurate information, content, brand assets, credentials and access that we reasonably need;
  • give feedback and approvals within a reasonable time (ideally within 5 working days);
  • make sure you own or have the right to use everything you give us, including text, images, logos, data, fonts and software, and that it does not infringe anyone's rights or break the law;
  • obtain any consents and give any notices required by law for personal data you ask us to process; and
  • keep your account logins and credentials secure.

05 Fees & Payment

  • Fees are as stated in the proposal or SOW and are in Indian Rupees (INR) unless stated otherwise. Unless stated otherwise, fees are exclusive of GST and other applicable taxes, which will be added to invoices.
  • Payment schedule: unless otherwise agreed, an advance (commonly 30–50%) is payable before work begins, with the balance due in milestones or on delivery. Final files, source code, credentials or go-live may be withheld until all dues are cleared.
  • Invoices are payable within 7 days of the invoice date unless another term is agreed in writing.
  • Late payment: overdue amounts may attract interest at 1.5% per month (or the maximum allowed by law, if lower), and we may pause work until payment is received.
  • Third-party costs such as domains, hosting, premium plugins and themes, stock assets, API usage (including AI model usage), SMS/email gateways and licences are not included unless stated, and are billed at cost or paid directly by you.
  • Refunds: advance and milestone payments cover time, resources and work already committed, and are generally non-refundable once work has started. Any exception must be agreed in writing.

06 Intellectual Property

Your content

You retain ownership of the content, data and materials you supply. You grant us a limited licence to use them solely to deliver the services.

Deliverables

Subject to full payment of all fees, ownership of the custom deliverables created specifically for you (such as bespoke code, designs and written content) transfers to you, unless the SOW says otherwise. Until full payment, we retain ownership and you only have a limited licence to review them.

Our pre-existing materials

We retain ownership of our pre-existing tools, frameworks, libraries, templates, components, know-how, methods and general skills, and of anything we develop independently. Where these are included in a deliverable, we grant you a non-exclusive, perpetual, worldwide licence to use them as part of that deliverable.

Third-party and open-source components

Deliverables may include third-party or open-source software, fonts, themes, APIs and AI models, which remain under their own licences. You are responsible for complying with those licences.

Portfolio

Unless you ask us in writing not to, we may display non-confidential aspects of the finished work (for example, screenshots and the project name) in our portfolio and marketing. We will not disclose your confidential information.

07 Confidentiality

Each party agrees to keep the other's non-public business, technical and financial information confidential, to use it only for the project, and not to disclose it except to employees, contractors and advisers who need it and are bound by similar duties, or where required by law. This does not apply to information that is public through no fault of the recipient, was already known to it, or was independently developed. These duties continue for 3 years after the engagement ends (and for as long as trade secrets remain protected).

08 AI Features & Outputs

Some of our solutions use artificial intelligence, including large language models and machine learning. You acknowledge that:

  • AI outputs can be inaccurate, incomplete, biased or out of date, and may vary between runs;
  • AI systems should not be the sole basis for legal, medical, financial, safety-critical or other high-stakes decisions without human review;
  • third-party AI providers set their own terms, usage limits, pricing and availability, which we do not control; and
  • you are responsible for how you configure, supervise and use AI systems delivered to you, and for the content they produce in your business.

Our handling of project and AI data is described in our Privacy Policy.

09 Delivery, Acceptance & Support

  • Review period: after delivery you have 7 days to test and report defects. Work is deemed accepted after that period, or when you put it into live use, whichever is earlier.
  • Defect fixing: we will correct reproducible defects in the agreed scope that are reported during the warranty or support period stated in the SOW (or 30 days after go-live if none is stated), free of charge.
  • Not covered: issues caused by changes made by anyone other than us, third-party software or service changes, hosting or server failures outside our control, misuse, or new feature requests.
  • Maintenance & hosting plans (security updates, monitoring, SEO and growth retainers) are provided under the plan you choose and renew for the stated period until cancelled with the notice period in the plan.

10 Acceptable Use of Our Website

When using our website you agree not to:

  • break any law or infringe the rights of others;
  • attempt to gain unauthorised access to our systems, probe for vulnerabilities, or disrupt the site or its servers;
  • send malware, spam or misleading or abusive messages through our forms;
  • scrape, copy or reuse our content, designs, code or branding without written permission; or
  • use the site to build a competing service or train AI models on our content without permission.

All content on this website, including text, graphics, the Alpha Loop name and logo, and code, is owned by or licensed to us and protected by intellectual property laws.

11 Disclaimer of Warranties

We perform our services with reasonable skill and care. Except for the express commitments in a signed agreement, our website and services are provided "as is" and "as available", and to the fullest extent permitted by law we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

We do not guarantee uninterrupted or error-free operation, or specific business results. In particular, we cannot promise any particular search ranking, traffic, leads, sales, advertising return or AI accuracy, as these depend on factors beyond our control, such as search engine and platform algorithms and market conditions.

12 Limitation of Liability

To the maximum extent permitted by law:

  • we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business, goodwill or data; and
  • our total aggregate liability arising out of any project or these Terms is limited to the fees you actually paid us for the services giving rise to the claim in the 6 months before the claim arose.

Nothing in these Terms excludes liability that cannot be excluded by law, including for fraud or wilful misconduct.

13 Indemnification

You agree to indemnify and hold us harmless from claims, losses, damages and reasonable legal costs arising from (a) content, data or instructions you provide, (b) your breach of these Terms or applicable law, or (c) your use of deliverables in a manner not authorised by us, including regulated or high-risk uses you did not disclose to us.

14 Suspension & Termination

  • Either party may terminate a project by giving 15 days' written notice, or immediately if the other party materially breaches these Terms and does not remedy it within 7 days of notice.
  • We may suspend work or website access if payments are overdue, if you breach these Terms, or where required by law.
  • On termination, you must pay for all work performed and costs incurred up to the termination date, including any work in progress. Sections that by nature should survive (payment, intellectual property, confidentiality, liability, indemnity and governing law) will continue to apply.

15 Force Majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, power or internet outages, cloud or third-party service failures, cyberattacks, pandemics, strikes, war, or government action. The affected party must notify the other promptly and resume performance as soon as reasonably possible.

16 Governing Law & Disputes

These Terms are governed by the laws of India. We encourage you to contact us first so we can try to resolve any dispute in good faith. If it is not resolved within 30 days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 before a sole arbitrator appointed by mutual consent, with the seat and venue at Thalassery, Kannur, Kerala and proceedings in English. Subject to this, the courts at Thalassery, Kannur, Kerala have exclusive jurisdiction.

17 General

  • Entire agreement: these Terms, together with any signed proposal or SOW, are the whole agreement between us on their subject.
  • Severability: if any provision is unenforceable, the rest remains in effect.
  • No waiver: failing to enforce a right is not a waiver of it.
  • Assignment: you may not transfer your rights under these Terms without our written consent.
  • Independent contractors: nothing here creates a partnership, employment or agency relationship.
  • Notices: may be given by email to the addresses either party provides.

18 Changes to These Terms

We may update these Terms from time to time. The "Last updated" date shows the latest revision. Changes apply to the website from the date of posting, and do not alter the terms of a project already agreed in writing unless both parties consent.
